Using Contracts in Deal Rooms

Overview

Contracts can be enabled, created, and managed directly from a Deal Room.
This keeps contracts connected to the deal context while allowing teams to move from collaboration to signing without switching workflows.


Enabling Contracts in a Deal Room

Contracts must be enabled at the Deal Room level to be available.

When Contracts are enabled:

  • The Contracts tab becomes visible in the Deal Room

  • Contracts can be created or connected directly from the room

  • Connected contracts remain linked to the deal context

  • Individual documents are only visible to buyers who have been invited to them

Disabling Contracts hides the Contracts tab for both sellers and participants, but does not delete any existing contracts.


Creating a contract from a Deal Room

Starting a contract

From the Contracts tab inside a Deal Room, you can create a new contract draft.

When creating a contract from a Deal Room:

  • You select an existing contract template

  • The contract is automatically linked to the Deal Room

  • The contract follows the standard contract creation flow


Selecting a contract template

Contracts created in a Deal Room are always based on an existing contract template.

You can:

  • Choose from recently used templates

  • Search and select any available contract template

The selected template defines the document structure and signing setup.


Adding signers and recipients

During contract creation, you assign recipients to the contract.

Recipients:

  • Receive the contract for review and signing

  • Are linked to the contract, not the Deal Room itself

  • Can be added or adjusted before the contract is finalized

Recipients added at this stage will only receive the contract once it is sent.


Finalizing or saving the contract

After recipients are added, you choose how to proceed:

Finalize contract

  • Redirects you to the contract send-out workflow

  • Allows you to review, send, and start the signing process

  • Sends the contract to recipients

Continue in this room

  • Keeps the contract as a draft inside the Deal Room

  • Does not send the contract to recipients

  • Allows you to continue working on the deal before sending

Draft contracts remain connected to the Deal Room until finalized or removed.


Linking from a contract to the Deal Room

When a contract is connected to a Deal Room, a Connected Room link is available.

This allows one-click navigation between the contract and its Deal Room.


Managing contracts in the Deal Room

Viewing contracts

All contracts connected to a Deal Room appear in the Contracts tab.

From this tab, you can:

  • See all connected contracts and their statuses

  • Open and view contracts without leaving the Deal Room

  • Manage multiple contracts within the same deal


Multiple contracts per Deal Room

A single Deal Room can contain multiple contracts, such as:

  • NDAs

  • Proposals

  • DPAs

Each contract can only be connected to one Deal Room at a time.


Optional use of Deal Rooms

Contracts do not have to be connected to a Deal Room.

For simple or one-off agreements, contracts can be created and managed independently without using a Deal Room.


FAQs

Q: If someone is a participant in a Deal Room but isn’t involved in signing the contract, will they still see the Contracts tab?
A: Yes, but the individual documents are only visible to buyers who have a role in the specific contract workflow. Participants who aren’t involved in signing or managing the contract won’t see those documents, helping keep the room relevant and uncluttered for each stakeholder.

Q: As a stakeholder in the buying organization, I have access to the Deal Room, but I can’t see the contract, while my colleague can. Why?
A: Contracts are only visible to participants who have been assigned a role (signer, reviewer, etc.) in the contract workflow. Your colleague can see it because they have a role in signing or managing the document. If you need to review or approve the contract, ask the rep to add you as a document recipient so the document becomes visible to you in the Contracts tab.
